Subject: Development of a list of verified international buyers

The CNV is a recognized association of public utility bringing together all the actors of the vanilla sector and having for object the promotion and the development of the Vanilla sector in Madagascar. This status is granted to it through Decree No. 2021-548 on the organization of the vanilla sector, in accordance with the provisions of Article 12 of Ordinance No. 60-133 of October 3, 1960 on the general regime of associations, including the article 5 indicates in particular that the CNV "works for the sustainability and sustainable development of the vanilla sector, implements the regulations and offers the competent authorities the necessary updates and is the interlocutor of the State and other partners. national and international on any issue affecting the sector".

The main mission of the CNV is to promote public and private dialogue, as well as consultation and exchanges between the various players in the vanilla sector. The CNV also aims to promote the structuring and synergy of the actions of the various actors in the vanilla sector, to serve as a framework for negotiations between the various actors in the sector, to ensure good governance and good management of the vanilla sector but also to establish and submit the list of operators claiming to exercise the professions of Planters, Collectors/Preparers and Exporters, with a view to the issuance of the necessary documents and the formalization of their activities by the Ministry in charge of Trade and the Ministry in charge of Agriculture, according to their respective attributions.

Context

The 2021-2022 campaign saw the non-compliance by a number of players with Interministerial Order No. 20726/2021 concerning the fixing of export floor prices (250 USD/kg) for vanilla to the detriment of the balance of trade, the balance of payment and public finances but also and above all the purchase price from growers of green vanilla which serves as an adjustment variable. This is why the Malagasy government, for the sake of a fair distribution of value, has decided to set through advisory note n°261/2022-PM/SGG/SC a minimum price for green vanilla (75,000 Ar/Kg) to ensure a decent income for planters. In the value chain, the application of the minimum purchase price of green vanilla of 75,000 Ar/Kg

notably by respecting the floor price of 250 USD/kg for exports. It is to ensure the implementation of these regulations that this call for expressions of intent is launched. It is part of the overall sanitation approach announced at the conference on July 4, 2022 in Paris on Vanilla from Madagascar.

Objectives

This call for expression of intent ("AMI") is led by the CNV with a view to ensuring better management of the export-import phase for the 2022-2023 season and thus to identify a list of "purchasers international verified companies” having voluntarily submitted to the verification of their intrinsic status (the entity itself from a corporate point of view) but also extrinsic (purchase intentions, and behavioral commitment). This list must be consistent with the high number of export approvals - de facto eliminating any risk of monopoly - recently issued by the Ministry in charge of Trade.

The medium-term objective is to achieve the objectives of quality, traceability, fair distribution of value within the Vanilla sector and excellence of this sector as a whole, in particular through the establishment and promotion of the Madagascar Vanilla label with buyers recognizing the specificity of Madagascar vanilla. For this, it is necessary to stem and put an end to all forms of non-compliance with the conditions of production and export of Vanilla from Madagascar.

Execution period

Buyers interested in acquiring Vanilla from Madagascar must come forward until September 30, 2022.

The list thus drawn up is only valid for the 2022-2023 season. For the following season, a new list will be established.

Conditions of participation

Given the preponderant weight of Vanilla from Madagascar on the international market, the CNV aims to set up an approach of excellence at all stages of the vanilla production process, including the export-import phase.

For this, the CNV plans to put in place qualitative prescriptions/requirements allowing each prospective international buyer to voluntarily commit to them in order to allow the operation of a sector that respects each link in the chain.

The candidate buyer must be a public or private law entity or a consortium, specializing in the vanilla market, which thus undertakes to:

1) respect the principle of the floor price per kilogram established by the Ministry in charge of Trade at 250 USD per kilo for the purchase of vanilla for export under the 2022 2023 campaign;

2) not to acquire vanilla outside the campaign period; 3) acquire vanilla from exporters based in Madagascar having an approval in accordance with the regulatory provisions of the country and thus reporting an up-to-date card;

4) implement, jointly with the exporters, sufficient checks to ensure that their own suppliers themselves apply the local regulations in this area at their level and in particular the minimum purchase price of green vanilla;

5) ensure jointly with the exporters that the conditions of production, harvesting and preparation of the acquired vanilla comply with the requirements of the relevant Conventions of the International Labor Organization in force in Madagascar, the Convention on the Rights of the Child ratified by Madagascar and the relevant provisions of Law No. 2003-044 of July 28, 2004 on the Labor Code;

6 - provide the CNV, at its request, with proof of its checks with its suppliers.

Terms of participation

Buyers wishing to be listed on the list of verified buyers drawn up by the CNV under this CEI are invited to indicate their intention by sending the following documents to the CNV:

Regarding the buyer

A - KBIS extract of the candidate entity

B - confirmation of tax compliance with the country of residence

C - import license, if applicable in the country of establishment

D - experience of the candidate in the vanilla sector through his seniority and his position in the sector (industrial, intermediary, etc.)

E - list of Madagascan vanilla suppliers with whom the candidate buyer has traded during the last three years

F - financial capacity to import (key financial indicators)

Regarding intentions

A - prospected purchase quantity (for information only)

B - prospective purchase quality (for information only)

C - commitment to respect the prescriptions/requirements established by the CNV and in particular the floor prices.

Expected

Based on the information provided by the candidate buyer to the CNV, the latter will be able to draw up a list of candidate international buyers with verified status, thus facilitating the export-import phase.

Thus, only "verified buyers" will be guaranteed to obtain the required quantities while stocks last. Any approved exporter with stock that meets the standards and regulations may request the CNV for a reconciliation with verified buyers.

Responsibilities of Candidate International Buyers

• Make true and sincere statements.
• Respect the commitments made under this call for expressions of intent.
• Do not undertake anything that does not comply with regulatory and legal provisions of the Republic of Madagascar and in particular compliance with the floor price.

Consequently, the CNV has decided on the terms of this call for expressions of intent. By affixing his signature and his stamp in the dedicated spaces below, the candidate buyer declares on his honor to have read and accepted the terms of this call for expression of intent, the commitments and responsibilities resulting therefrom.

Le CNV est une association reconnue d'utilité publique regroupant tous les acteurs de la filière vanille et ayant pour objet la promotion et le développement de la filière Vanille à Madagascar. Ce statut lui est attribué à travers le Décret n°2021-548 portant organisation de la filière vanille, conformément aux dispositions de l'article 12 de l'Ordonnance n°60-133 du 3 octobre 1960 portant régime général des associations, dont l'article 5 indique notamment que le CNV "oeuvre pour la pérennisation et le développement durable de la filière vanille, met en oeuvre la réglementation et propose aux autorités compétentes les mises à jour nécessaires et est l'interlocuteur de l'Etat et des autres partenaires nationaux et internationaux sur toute question touchant la filière".

Le CNV a notamment pour principale mission de favoriser le dialogue public et privé, ainsi que la concertation et les échanges entre les différents acteurs de la filière vanille. Le CNV vise également à promouvoir la structuration et la synergie des actions des différents acteurs de la filière vanille, à servir de cadre de négociations entre les différents acteurs de la filière, à assurer la bonne gouvernance et la bonne gestion de la filière vanille mais aussi à établir et soumettre la liste des opérateurs prétendant à l'exercice des professions de Planteurs, de Collecteurs/Préparateurs et d'Exportateurs, en vue de la délivrance des documents nécessaires et de la formalisation de leurs activités par le Ministère en charge du Commerce et le Ministère en charge de l'Agriculture, en fonction de leurs attributions respectives.

Contexte

La campagne 2021-2022 a vu le non-respect par un certain nombre d'acteurs de l'Arrêté Interministériel n°20726/2021 concernant la fixation des prix plancher à l'exportation (250 USD/kg) de la vanille au détriment de la balance commerciale, de la balance de paiement et des finances publiques mais aussi et surtout du prix d'achat auprès des planteurs de la vanille verte qui sert de variable d'ajustement. C'est pourquoi le gouvernement malgache dans un souci de juste répartition de la valeur a décidé de fixer à travers la note de conseil n°261/2022-PM/SGG/SC un prix minimum de la vanille verte (75.000 Ar/Kg) pour assurer un revenu décent aux planteurs. Dans la chaîne de valeur, l'application du prix minimum d'achat de la vanille verte de 75 000 Ar/Kg

asse notamment par le respect du prix plancher de 250 USD/kg à l'exportation. C'est pour s'assurer de la mise en oeuvre de ces réglementations que le présent appel à manifestation d'intention est lancé. Il s'inscrit dans la démarche globale d'assainissement annoncée lors de la conférence du 4 juillet 2022 à Paris sur la Vanille de Madagascar.

Objectifs

Le présent appel à manifestation d'intention (« AMI ») est mené par le CNV en vue d'assurer une meilleure gestion de la phase exportation-importation sur la saison 2022-2023 et ainsi d'identifier une liste d'« acheteurs internationaux vérifiés » s'étant soumis volontairement à la vérification de leur statut intrinsèque (l'entité elle-même ­ d'un point de vue corporate) mais aussi extrinsèque (intentions d'achat, et engagement comportemental). Cette liste doit être en cohérence avec le nombre élevé d'agréments exportateur - annihilant de facto tout risque de monopole - récemment délivrés par le Ministère en charge du Commerce.

L'objectif à moyen terme est d'atteindre les objectifs de qualité, de traçabilité, de juste répartition de la valeur au sein de la filière Vanille et d'excellence de cette filière dans son ensemble à travers notamment la mise en place et la promotion du label Vanille de Madagascar avec des acheteurs reconnaissant la spécificité de la vanille de Madagascar. Pour cela, il convient d'endiguer et de mettre un terme à toutes les formes de non-respect des conditions de production et d'exportation de la Vanille de Madagascar.

Période d'exécution

Les acheteurs intéressés à se porter acquéreurs de la Vanille de Madagascar devront se manifester jusqu'au 30 septembre 2022.

La liste ainsi élaborée n'est valable que pour la saison 2022-2023. Pour la saison ultérieure, une nouvelle liste sera établie.

Conditions de participation

Compte tenu du poids prépondérant de la Vanille de Madagascar sur le marché international, le CNV a pour ambition de mettre en place une démarche d'excellence à tous les stades du processus d'élaboration de la vanille, y inclus la phase export-import.

Pour cela, le CNV envisage de mettre en place des prescriptions/exigences qualitatives permettant à chaque candidat acheteur international de s'y engager volontairement en vue de permettre l'exploitation d'une filière respectueuse de chacun des maillons de la chaîne.

Le candidat acheteur doit être une entité de droit public ou privé ou un consortium, spécialisé dans le marché de la vanille, qui s'engage ainsi à :

1) respecter le principe du prix plancher au kilogramme établi par le Ministère en charge du Commerce à 250 USD par kilo pour l'achat de la vanille à l'export au titre de la campagne 2022 ­ 2023 ;

2) ­ne pas procéder à l'acquisition de vanille hors de la période de campagne ;

3) ­acquérir de la vanille auprès des exportateurs basés à Madagascar disposant d'un agrément en conformité avec les dispositions réglementaires du pays et ainsi faisant état d'une carte à jour ;

4) ­ mettre en oeuvre conjointement avec les exportateurs les vérifications suffisantes permettant de s'assurer que leurs propres fournisseurs appliquent eux-mêmes à leur niveau la réglementation locale en la matière et en particulier le prix minimum d'achat de la vanille verte ;

5) s'assurer conjointement avec les exportateurs que les conditions de production, récolte et préparation de la vanille acquise sont conformes aux exigences de Conventions pertinentes de l'Organisation internationale du Travail en vigueur à Madagascar, de la Convention relative aux Droits de l'Enfant ratifiée par Madagascar et des dispositions pertinentes de la loi n°2003-044 du 28 juillet 2004 portant Code du travail ;

6 - fournir au CNV, à sa demande, les preuves de ses vérifications auprès de ses fournisseurs.

Modalités de participation

Les acheteurs désireux de se voir répertoriés sur la liste des acheteurs vérifiés établie par le CNV dans le cadre du présent AMI sont invités à manifester leur intention en renvoyant au CNV les documents suivants :

B ­- confirmation de la conformité fiscale avec le pays de résidence

C ­- licence d'importation, si applicable dans le pays d'établissement

D ­- expérience du candidat dans le secteur de la vanille au travers de son ancienneté et de son positionnement dans le secteur (industriel, intermédiaire, etc.)

E - liste de fournisseurs malgaches de vanille avec qui le candidat acheteur a commercé durant les trois dernières années

F - capacité financière d'importation (indicateurs financiers clé)

A - ­quantité d'achat prospectée (à titre indicatif)

B ­- qualité d'achat prospectée (à titre indicatif)

C ­- engagement de respecter les prescriptions/ exigences établies par le CNV et en particulier les prix planchers.

Attendus

Sur la base des informations fournies par le candidat acheteur au CNV, ce dernier sera en mesure d'élaborer une liste de candidats acheteurs internationaux présentant un statut vérifié, facilitant ainsi la phase d'exportation-importation.

Ainsi, seuls les « acheteurs vérifiés » seront garantis d'obtenir les quantités requises dans la limite des stocks disponibles. Tout exportateur agréé disposant de stock répondant aux normes et réglementations pourra solliciter le CNV pour un rapprochement avec les acheteurs vérifiés.

Responsabilités des acheteurs internationaux candidats

• Procéder à des déclarations vraies et sincères.
• Respecter les engagements pris au titre du présent appel à manifestation d'intention.
• Ne rien entreprendre qui ne soit pas conforme aux dispositifs réglementaire et légal de la république de Madagascar et en particulier le respect du prix plancher.

En conséquence, le CNV a arrêté les modalités du présent appel à manifestation d'intention. Par l'apposition de sa signature et de son cachet dans les espaces dédiés ci-dessous, le candidat acheteur déclare sur l'honneur avoir pris connaissance et accepté les termes du présent appel à manifestation d'intention, les engagements et responsabilités en résultant.
